Terms of Service – Firm Industrial

Welcome to FirmIndustrial.com (“Firm Industrial,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website and services. By using this website or placing an order, you agree to be bound by these Terms.

1. Agreement Overview

These Terms, along with any order confirmation or invoice, constitute the entire agreement between you (“Customer” or “you”) and FirmIndustrial.com. Any other terms (such as those on your purchase orders) are not binding unless accepted in writing by Firm Industrial.

2. Products & Pricing

We strive to ensure accurate product descriptions, availability, and pricing. However, all information is subject to change without notice. Prices do not include shipping, handling, sales tax, or duties unless explicitly stated. We reserve the right to cancel any order due to pricing errors or stock issues.

3. Payments & Tax

All payments are due at the time of the order unless credit terms are approved. Firm Industrial is a registered business in the State of Georgia and is required to collect applicable sales tax unless a valid tax exemption certificate is provided at the time of purchase.

4. Shipping & Risk of Loss

All orders are shipped FOB (Free on Board) from our facility or supplier’s warehouse. Ownership and risk of loss pass to you upon delivery to the carrier. You are responsible for any additional services such as liftgate, inside delivery, or residential delivery, which may incur extra charges.

5. Returns & Inspections

  • Return Window: You may return eligible items within 30 days of delivery.
  • Conditions: Items must be unused, in resalable condition, and in original packaging.
  • Authorization: All returns require a Return Authorization (RA) number issued by our team.
  • Custom or Special Orders: Non-returnable unless defective.
  • Damage Claims: Must be reported within 10 days of delivery with photos and carrier documentation.

6. Restocking Fees

Returns not due to our error are subject to a 15% restocking fee. Shipping fees are non-refundable unless the return is due to a Firm Industrial error.

7. Warranty Disclaimer

Firm Industrial does not manufacture the products it sells. Any product warranties are provided by the original manufacturer and passed through to the customer where applicable.
Disclaimer: FIRM INDUSTRIAL MAKES NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Our maximum liability is limited to the purchase price of the product.

8. Indemnification

You agree to indemnify, defend, and hold harmless Firm Industrial, its owners, employees, and affiliates from any claims, liabilities, damages, or costs (including legal fees) resulting from your misuse of our products or violation of these Terms.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. All disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Barrow County, Georgia, and you consent to that jurisdiction.

10. Force Majeure

Firm Industrial is not liable for delays or failures to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war, labor shortages, transportation delays, supply chain disruptions, or government restrictions.

11. Modifications to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of our website and services constitutes your acceptance of the revised Terms.
